Terms & Conditions

Section 1 - Introduction

These Terms and Conditions (“Terms”) govern participation in the Rodent Research-20 Official Fundraising Campaign (“Campaign”) organized by the Advanced SpaceLife Research Institute/ASRI Network Inc. (“ASRI,” “we,” “our,” or “us”), in collaboration with MoonDAO. By contributing funds to the Campaign, you (“Contributor,” “you,” or “your”) agree to be bound by these Terms. Please read them carefully before participating. By participating, Contributors also agree to MoonDAO’s Terms of Service for use of their fundraising platform, and ASRI’s website Terms & Conditions and Privacy Policy.

This Campaign is operated as a rewards-based fundraising initiative, not as a charitable solicitation. Contributions are made in exchange for participation incentives or rewards as described in Appendix A, Contributor Awards Schedule. Participation in this Campaign does not constitute an investment, equity offering, or security sale, and no Contributor should expect profit or financial return from their contribution.

Section 2 - Campaign Overview

The purpose of the Campaign is to raise funds to continue and expand research associated with the Rodent Research-20 (RR-20) experiment, originally conducted aboard the International Space Station. Funds raised will support ongoing scientific, logistical, and outreach efforts related to the RR-20 mission, its descendant mice colony, and its associated research team.

The Campaign will be conducted through MoonDAO’s Launchpad fundraising platform on its official website from November 10, 2025, through November 21, 2025, unless extended further or terminated earlier by ASRI. ASRI may, at its discretion, modify campaign start or end dates or the total funding goal without prior notice.

Section 3 - Eligibility

To participate, Contributors must:

Have the legal capacity to enter into binding agreements.
Provide accurate and complete payment and contact information at the time of contribution. Legal names must be used. ASRI reserves the right to remove name listings of contributors if false names, substitute aliases and/or offensive replacement words are used.
Be at least 13 years of age. LEGAL NOTICE: In order to receive subscription membership incentives offered by ASRI (listed in Appendix A), Contributors must be at least 18 years of age. Any contributions made by or on behalf of individuals who are less than 18 years of age will not qualify for ASRI subscription membership incentive awards, in accordance with ASRI’s organizational Terms & Conditions.

ASRI reserves the right to refuse, withhold awards from, and/or refund contributions that do not comply with these requirements or that violate applicable laws or regulations. ASRI reserves the right to retroactively revoke or amend Awards if information later arises indicating the Contributor’s ineligibility or misrepresentation.

Section 4 - Contribution and Payment

All contributions must be made via the authorized Campaign platform (hosted on MoonDAO’s website) using approved payment methods in order to qualify for incentive awards.

Contributions are non-refundable except as expressly provided in Section 8.
The amount contributed determines eligibility for specific awards or recognition, as detailed in Appendix A.
Contributions do not confer any ownership, equity, or profit-sharing interest in ASRI, its affiliates, or the RR-20 project.
Contributions are not tax-deductible under U.S. law and do not qualify as charitable donations.
Contributors are responsible for any applicable taxes, duties, or exchange-rate fees associated with their payment.
All payments are processed by MoonDAO through its Launchpad platform; ASRI does not store or process Contributor payment information.

Section 5 - Rewards and Incentives

Each contribution tier corresponds to an incentive award or recognition (“Awards”) described in Appendix A – Contributor Awards Schedule. ASRI reserves the right to modify or substitute campaign awards of equal or greater value if required by availability, logistics, or other reasonable constraints.

Contribution amounts listed in Appendix A are markers for progressive awards for campaign participants. Each listed amount will earn the Contributor the associated award as well as those of the tiers preceding it, with the exception of ASRI subscription memberships, which will upgrade for the individual upon surpassing respective award amounts. All physical and digital items are limited-edition campaign incentives, not commercial products. ASRI makes no guarantee of resale value or product availability after the campaign period. All ASRI-issued physical and digital product awards will be issued through a one-time use redemption code generated during the contribution process.

Contributors will receive an email from ASRI with any appropriate redemption codes, which they must then redeem on ASRI’s website to activate/redeem their campaign awards. To redeem their ASRI Subscription Membership code and other ASRI awards, Contributors must use the same email address that they used contributing to the RR-20 Fundraising Campaign via the MoonDAO Launchpad portal. All awards and/or their associated redemption codes will be issued by 31 December 2025, following completion of the official campaign, data aggregation of the Contributors, and assignment/allocation of appropriate awards.

Each participating Contributor may qualify for progressive award tiers only once using the same email – additional contributions will continue to be aggregated to qualify for the next highest tier. Total contributions made as one single payment are recommended for the smoothest award fulfillment experience.

ASRI will make reasonable efforts to deliver all Awards within the timeframe indicated. Delivery timelines are estimates only and subject to reasonable delays due to logistical, administrative, or supply constraints. Contributors acknowledge that reasonable delays shall not constitute breach of these Terms.
Awards are provided “as is,” without warranty except as required by law.
Some Awards may have additional eligibility criteria (e.g., shipping restrictions, naming guidelines) that will be clearly stated.
If a Contributor is located outside of the United States, international shipping fees paid by the Contributor may apply. Please note that ASRI cannot ship physical awards to countries that have a trade embargo or restrictions with the United States.
Awards are not transferable or exchangeable for cash or other items.
During the Campaign Awards code redemption process, Contributors may be required to enter payment information to maintain a payment method on file with ASRI, for meeting certain criteria such as subscription membership renewal requirements in the future. Maintaining a payment method on file does not authorize ASRI to initiate future charges without the Contributor’s express consent.

All Contributors will earn SPICE tokens for their Contributions, at a rate of exchange listed on MoonDAO’s Launchpad portal for the Campaign, and subject to MoonDAO’s official Terms & Conditions. Any SPICE tokens accrued will be deposited in a MoonDAO-generated crypto wallet for the Contributor, accessible on MoonDAO’s official website. SPICE tokens are offered and managed exclusively by MoonDAO. For additional information on SPICE tokens and “tokenomics”, please visit MoonDAO's RR-20 Campaign Launchpad page. ASRI is not responsible for generation, custody, or financial liability/valuation change of SPICE tokens. ASRI neither issues nor guarantees the value, transferability, or functionality of such tokens. ASRI disclaims any responsibility for token price fluctuations, custodial loss, or regulatory treatment, and any and all questions on such tokens should be directed to MoonDAO at info@moondao.com.

Section 6 - Intellectual Property and Naming Rights

Certain contribution tiers include naming and/or recognition rights, full details and conditions for which are outlined in the RR-20 Naming Rights Terms & Conditions.

All intellectual property, data, and research outputs related to the RR-20 project remain the exclusive property of ASRI and/or its research partners.
All RR-20 Fundraising Campaign imagery, data, likenesses, and derivative works remain under the exclusive copyright of ASRI and/or its partners and affiliates. Contributors may not use ASRI’s, MoonDAO’s, or RR-20’s names, logos, or marks in advertising or publicity without prior written consent. No part of the RR-20 project or campaign materials may be reproduced, resold, or republished without ASRI’s prior written authorization.
Any naming or recognition rights are symbolic and honorary in nature and do not confer ownership or control.
ASRI reserves the right to reject any proposed name that it deems inappropriate, offensive, or inconsistent with its mission or public image.

Section 7 - Use of Funds

Funds raised through this Campaign will be allocated toward the continuation of RR-20 research activities, associated laboratory and animal care costs, data collection and analysis, educational outreach, and related operational expenses. The Campaign target raise amount of USD $1.5M will equate to 3 years (36 months) of full budget support of the RR-20 project. ASRI retains full discretion regarding the allocation of funds within the stated mission objectives. Financial reports or general updates regarding campaign outcomes may be shared publicly at ASRI’s discretion for transparency purposes, without creating any fiduciary obligation to Contributors.

80% of total contributions up to USD $1.5M will be allocated directly to the Kansas University (KU) Endowment, with the stated intent that they be applied exclusively to the Rodent Research-20 project/team, led by Dr. Lane Christenson, the assigned Principal Investigator. ASRI does not control the internal disbursement of KU Endowment funds once transferred.
10% of total funds raised will be allocated to MoonDAO for provision and use of their payment platform/infrastructure.
10% of total contributions raised up to USD $1.5M will be allocated to ASRI for facilitating, staffing, and coordinating the RR-20 fundraising campaign/public outreach, and repayment of ASRI’s previous financial and time investment into those efforts.

For any amount of funds raised beyond the original campaign target of USD $1.5M during the official Campaign dates and/or any official extensions, 10% will be allocated to MoonDAO for the continued provision/use of their payment platform/infrastructure, and 90% will be allocated to ASRI for application to their research endowment and operations fund, in order to support future space life sciences research experiments and/or projects related to mammalian reproduction, sexual health and behavioral factors in space environments, which may include further support of the RR-20 mice colony beyond the aforementioned 3-year period, at ASRI’s sole discretion. ASRI reserves the right to reallocate any unspent or excess funds as reasonably necessary to fulfill the scientific mission objectives outlined herein.

Section 8 - Refunds and Cancellations

All contributions are final. Refunds are not available for delays, non-material changes to Awards, or dissatisfaction with the content or nature of the research, and will only be issued if:

The Campaign is canceled prior to the delivery of any Awards, or
A specific Award becomes unavailable, and ASRI cannot reasonably offer a suitable replacement.

Refund requests must be submitted within 30 calendar days of notice of cancellation or award unavailability. Refunds will be made to the original payment method within a reasonable period following such cancellation. If and when ASRI agrees to issue any refund, all refunds must be coordinated through MoonDAO (payment platform/processor) by the Contributor upon receipt of refund approval notification via email from ASRI. Refund processing times and fees may be subject to MoonDAO’s payment platform policies, over which ASRI has no control.

Section 9 - Limitation of Liability

To the maximum extent permitted by law:

ASRI and its directors, officers, employees, members, agents, contractors, partners, and affiliates shall not be liable for any indirect, incidental, or consequential damages arising from participation in the Campaign.
ASRI’s total liability for any claim arising under these Terms shall not exceed the amount contributed by the affected Contributor. Contributor agrees to allow ASRI reasonable time to settle any and all claims out of court wherever possible before initiating any form of litigation.
Contributors expressly waive the right to participate in any class or representative action against ASRI. Any claims shall be pursued on an individual basis.

Section 10 - Privacy and Data Protection

Personal information collected during the Campaign by MoonDAO and/or ASRI will be used solely for administrative, communication, and fulfillment purposes in accordance with ASRI’s Privacy Policy, and may be shared between MoonDAO and ASRI for those purposes. ASRI and MoonDAO will not sell or share Contributor data with any third parties for marketing purposes unrelated to the Campaign. For Contributors within the European Economic Area, data will be processed under legitimate interest in accordance with applicable GDPR provisions.

Section 11 - Modifications and Termination

ASRI reserves the right to modify, suspend, or terminate the Campaign at any time if circumstances beyond its control prevent continuation (including, but not limited to, regulatory changes, safety concerns, or technical issues). If the Campaign is terminated prior to completion, ASRI will provide notice to all Contributors and issue refunds where appropriate. In the event of modification, suspension, or termination, ASRI shall not be liable for any indirect or consequential loss arising from such actions.

Section 12 - Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, USA, without regard to its conflict of law principles. Any disputes shall be subject to the exclusive jurisdiction of the state and federal courts located in Brevard County, Florida.

Section 13 - Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions shall continue in full force and effect.

Section 14 - Entire Agreement

These Terms, together with Appendix A (Contributor Awards Schedule), and other Terms and Policies outlined throughout them, constitute the entire agreement between ASRI and the Contributor regarding participation in the Campaign and supersede all prior understandings or communications. Any Awards or conditions as allocated or set forth by MoonDAO must be fulfilled and/or resolved directly between Contributor and MoonDAO. In the event of conflict between these Terms and any platform-specific or token-related terms issued by MoonDAO, MoonDAO’s terms shall govern as to platform operations, and ASRI’s terms shall govern as to Campaign incentives and naming rights.

Appendix A – Contributor Awards Schedule

*Additional details of ASRI Subscription Membership benefits, as well as the Members Code of Conduct are listed in our Subscription Membership Terms & Conditions on our website. All ASRI subscriber members must be at least 18 years of age, any Contributors that do not meet our subscription age requirements will not be entitled to ASRI subscription membership awards, regardless of the amount donated.

**Subject to ASRI personnel availability and/or certain travel restrictions. Private meetings must be scheduled and held before 31 December 2026, at an agreed-upon location and time. ASRI reserves the right to substitute virtual meetings if significant travel or scheduling conflicts arise. Contributors are responsible for their own travel and accommodation expenses.
