​ASRI Rodent Research-20 Fundraiser “Name-a-Mouse” Program

​

These Rodent Research-20 project Naming Rights Terms & Conditions are set forth by the Advanced SpaceLife Research Institute (“ASRI”), a Florida 501c3 non-profit corporation, for any and all naming right(s) claims by RR-20 fundraising campaign qualifying contributors (“Contributor”). 

 

Section 1 - Background and Purpose

​

ASRI is conducting its “Rodent Research-20 (RR-20)” campaign (“Campaign”) to support space life sciences research through sponsorship of an independent research team. As part of the Campaign, ASRI is offering individuals who contribute at least USD $150 the opportunity to officially name one of the mice associated with the RR-20 experiment, and to receive an electronic certificate acknowledging that naming. The purpose of this Agreement is to establish the terms under which the Contributor obtains naming rights for one mouse and the recognition associated therewith.

Section 2 - Contribution and Naming Rights

​

2.1 Contribution Amount – Naming Rights for one (1) RR-20 descendant colony mouse shall be granted for payment(s) (the “Contribution(s)”) of USD $150 (or other currency equivalent at time of contribution) via the official RR-20 campaign contribution portal on ASRI’s official website: https://www.asri.space/save-the-space-mice. Each additional USD $150 contribution shall secure the Contributor naming rights for one (1) additional RR-20 descendant mouse, up to $1500 or a maximum limit of 10 mouse names per participant.

2.2 Payment Terms – The required amount(s) must be paid in full at the time of the Contribution, within the official RR-20 fundraising campaign window, in order to secure naming rights.

​

2.3 Receipt – Upon receipt of the Contribution, ASRI shall issue a digital receipt confirming payment. ASRI shall issue an official submission form link to the Contributor via their provided email, so that the contributor may submit their mouse name(s) as outlined further below in these Terms & Conditions.

​

2.4 Naming Right(s) – In consideration of the Contribution, ASRI grants the Contributor the right to select a name (“Chosen Name”) for one (1) mouse in the RR-20 experiment descendant colony. ASRI will provide an electronic certificate (the “Certificate”) bearing the Chosen Name, acknowledging the Contributor’s participation and naming rights. The naming will be recorded in ASRI’s internal campaign records and may be referenced (without guarantee of publication) by ASRI in campaign materials at its discretion. Naming rights are considered separate and independent of other incentive products and/or services offered by ASRI for contributions to the Campaign. Naming rights may be applied at ASRI’s discretion to either currently living or future (not-yet-born) descendants of the RR-20 space-flown mice colony. Qualifying contributors’ mice will be named in numerical order of precedence based on recorded timestamp(s) of their contribution(s).

2.5 ASRI makes no representation that this payment qualifies as a tax-deductible charitable donation. Due to ASRI’s offerings of campaign contribution incentives in the form of value-assigned products and/or services, incentive-based contributions cannot be presented as tax-deductible. Contributors should and agree to reference their own legal counsel to clarify any tax questions/procedures surrounding their contributions as necessary.

 

Section 3 - Name Selection and Approval

3.1 The Contributor shall submit the Chosen Name(s) (maximum length 30 characters) by unique code/official form submission no later than 11:59 PM US Eastern Standard Time (EST) on 31 December 2025. Selected RR-20 mouse names will be publicly listed on ASRI’s official website, alongside their sponsoring Contributor’s name if the Contributor chooses (maximum of 50 characters).

3.2 Chosen Name(s) characters may consist only of phonetic alphabet letters, a maximum of 3 numbers, and spaces.

​

3.3 ASRI reserves the right, in its sole discretion, to review and approve the Chosen Name. Without limiting ASRI’s discretion, ASRI may refuse a name that is obscene, defamatory, misleading, inconsistent with ASRI’s mission, or otherwise unacceptable (i.e. cannot be sexually suggestive, overtly political, advocate for violence, drug use, or other illegal activity, or be otherwise harmful/inappropriate for public listing on ASRI’s website).

3.4 If ASRI determines the Chosen Name is not acceptable, it will promptly notify the Contributor and the Contributor may submit an alternative name within ten (10) business days. The Contributor must submit an acceptable name within three (3) submission attempts, or their naming rights for the assigned mouse will be forfeited.

 

Section 4 - Term and Duration

​

The naming right described herein is granted for the duration of the RR-20 experiment (anticipated to conclude by 31 December 2028). Upon termination of the experiment or conclusion of the Campaign, ASRI may retire or re-assign names at its discretion, subject to reasonable notice to the Contributor.

Section 5 - Morals Clause

​

ASRI reserves the right to revoke the naming rights, withdraw the name on the Certificate, and request or effect removal of public recognition in the event the Contributor engages in conduct that, in ASRI’s reasonable judgment, is harmful to ASRI’s reputation or inconsistent with its mission (“Contributor Misconduct”). ASRI may also do so in the event of non-payment or breach of this Agreement.

This clause gives ASRI the right to terminate recognition without refund, unless otherwise required by law.

 

Section 6 - Modification and Termination

​

6.1 If the Contributor fails to complete payment as agreed, ASRI may terminate the naming rights by giving written notice to the Contributor. The Certificate shall become void and the name may be re-assigned or retired.

​

6.2 If ASRI ceases the RR-20 experiment or otherwise terminates the campaign program, ASRI shall, where practicable, notify the Contributor in writing and shall have the right to retire the naming rights. ASRI may offer substitute recognition or incentives at its discretion.

​

6.3 ASRI shall notify the Contributor via their provided email of any amendment or modification of these Terms & Conditions.

 

Section 7 - Recognition and Deliverables

​

7.1 ASRI will issue the electronic Certificate (in PDF format) to the Contributor within 30 days of receipt of the full payment and approval of the Chosen Name.

​

7.2 ASRI may acknowledge the Contributor’s participation in campaign recognition listings (e.g., campaign newsletters, website, social media, or reports) unless the Contributor requests anonymity.

​

7.3 ASRI commits to providing periodic updates to the Contributor (via email) about the progress of the RR-20 experiment and related Campaign activities, including how the project is advancing.

 

Section 8 - Naming Policy; No Guarantee of Perpetuity

​

8.1 The Contributor acknowledges that ASRI has established a Naming Rights policy that applies to all such naming opportunities, including guidelines on name selection, duration, amendment, and termination.

​

8.2 The Contributor acknowledges that naming rights under these Terms & Conditions do not guarantee perpetual use. ASRI’s ability to honor the naming right is subject to the continuation of the RR-20 experiment, ASRI’s research plans, and compliance with these Terms & Conditions.

 

Section 9 - Intellectual Property

​

9.1 No ownership, title, or interest in ASRI’s intellectual property or biological materials is transferred under these Terms & Conditions. The naming right is purely a symbolic and promotional benefit and does not confer any property rights in the mouse, data, or ASRI program.

​

9.2 The Contributor shall not use ASRI’s logos, trademarks, or project names for commercial purposes without prior written consent from ASRI. Limited personal display of the Certificate for recognition is permitted, including via social media in accordance with ASRI and social media provider platform policies.

 

Section 10 - Governing Law

​

These Terms & Conditions shall be governed by and construed in accordance with the laws of the State of Florida, without regard to conflict-of-law principles.

 

Section 11 - Entire Agreement

 

These Terms & Conditions contain the entire understanding of the Parties with respect to the naming rights granted hereunder and supersedes all prior or contemporaneous discussions or agreements (whether oral or written). If any provision of these Naming Rights Terms & Conditions are held invalid or unenforceable, the remaining provisions shall remain in full force and effect. Qualifying contributors shall acknowledge reading and understanding these Naming Rights Terms & Conditions and agree to the terms set forth herein.
